These Terms of Service (“Terms”) govern use of the Projects Plus website, appointment calendar, waitlist, forms, informational materials, client-facing technology, and any Projects Plus-hosted platform access made available to you.
Projects Plus LLC (“Projects Plus,” “we,” “us,” or “our”) is the company providing the website, platforms, and applicable services described in these Terms. “You” and “your” refer to the person or business accessing or using the applicable website, platform, or services.
Paid client engagements may also be governed by a Master Service Agreement (“MSA”), Statement of Work (“SOW”), order form, or other written agreement. If these Terms conflict with an applicable signed agreement regarding project-specific scope, pricing, deliverables, payment, or other negotiated commercial terms, the signed agreement will control for those matters.
1. Eligibility and Acceptance
By accessing or using the Projects Plus website, submitting information through our forms, or accessing Projects Plus-hosted services or platforms, you agree to these Terms.
If you use Projects Plus services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
Projects Plus-hosted platform access requiring user credentials, including access delivered through HighLevel, is intended only for individuals who are at least 18 years old. You may not create or use an account for such platform access if you are under 18.
If you do not agree to these Terms, you must not use the applicable website, platform, or services.
2. Website Use
You may use the Projects Plus website for lawful personal or business purposes.
You may not:
- interfere with the website or its operation;
- attempt to gain unauthorized access to any system, account, server, or information;
- knowingly submit false, fraudulent, misleading, or deceptive information;
- introduce malicious code, viruses, or other harmful technology;
- scrape, crawl, copy, monitor, or extract website content through unauthorized automated means;
- impersonate Projects Plus, another user, or another person or organization;
- use Projects Plus content or systems in a manner that infringes another person’s rights; or
- use the website for any unlawful, abusive, fraudulent, or prohibited purpose.
3. Information, Strategy Calls, Waitlists, and Proposals
Projects Plus website content, educational materials, Course Strategy Calls, consultations, waitlists, proposals, estimates, and preliminary discussions are informational and exploratory unless otherwise stated in a signed agreement.
Scheduling a call, joining a waitlist, submitting a form, receiving a proposal, or communicating with Projects Plus does not by itself:
- create a client relationship;
- guarantee acceptance as a client;
- reserve production capacity;
- guarantee availability;
- establish final project scope;
- establish a final project price; or
- guarantee any particular business outcome.
A paid client relationship begins only under the applicable written agreement and payment requirements.
4. Client Services and Written Agreements
Specific services, deliverables, responsibilities, timelines, revisions, fees, payment requirements, intellectual-property rights, recurring service levels, cancellation provisions, and other engagement-specific terms will be established in the applicable MSA, SOW, order form, or other written agreement.
Projects Plus is not required to perform work outside the agreed scope unless additional work is approved.
Nothing contained on the Projects Plus website or in general marketing materials expands the scope of a signed client agreement.
5. Projects Plus-Hosted Platform Access
Projects Plus may provide certain clients or authorized users access to technology hosted or administered by Projects Plus, including client portals, customer relationship management systems, websites, funnels, forms, calendars, course areas, workflows, automations, messaging systems, or other technology.
Such access may be delivered through third-party platforms, including HighLevel.
Access is provided only for the authorized business purposes associated with your Projects Plus relationship.
Unless expressly stated otherwise in writing:
- platform access is licensed or made available for use and is not sold to you;
- access to a Projects Plus agency-level account is not provided;
- client users may access only the account, sub-account, workspace, or functionality authorized by Projects Plus;
- account access may depend on maintaining an active applicable service relationship; and
- access may be modified, limited, suspended, or terminated as permitted by these Terms or an applicable agreement.
6. Account Security and Authorized Users
You are responsible for:
- maintaining the confidentiality of your login credentials;
- maintaining accurate account and contact information;
- restricting access to authorized personnel;
- promptly notifying Projects Plus of suspected unauthorized access or security incidents; and
- all activity conducted through accounts or credentials issued to you or your authorized users.
You may not share credentials with unauthorized persons or permit access to Projects Plus-hosted services by persons who are not authorized to use them.
You may not directly or indirectly provide access to Projects Plus-hosted HighLevel functionality to an employee, partner, director, contractor, representative, or other person acting on behalf of a direct competitor of HighLevel where such access would violate applicable HighLevel platform terms.
Projects Plus may restrict or revoke access where reasonably necessary to comply with this requirement.
7. Acceptable Use
You and your authorized users may use Projects Plus-hosted platforms only for lawful purposes and in accordance with these Terms, applicable law, applicable third-party platform policies, and any applicable written agreement.
You may not use Projects Plus-hosted services to:
- violate any applicable law or regulation;
- exploit, harm, harass, threaten, discriminate against, or attempt to harm another person;
- infringe or misappropriate intellectual-property, privacy, publicity, or other rights;
- send unlawful, deceptive, fraudulent, abusive, or misleading communications;
- transmit unlawful advertising, spam, junk mail, chain letters, or unauthorized solicitations;
- impersonate another person or organization;
- upload, distribute, or transmit malicious software, harmful code, or destructive technology;
- interfere with, disable, damage, overload, or impair any platform or system;
- attempt to bypass security, permissions, usage restrictions, or technical safeguards;
- gain unauthorized access to another account, system, network, or data;
- reverse engineer, decompile, disassemble, or attempt to discover source code or underlying proprietary technology except where applicable law expressly prohibits such restrictions;
- remove proprietary notices or ownership markings;
- use automated scraping, crawling, or extraction tools without authorization;
- engage in fraudulent, deceptive, abusive, or unlawful commercial practices;
- use the services in a way that could expose Projects Plus, a platform provider, telecommunications provider, or another person to liability; or
- engage in conduct prohibited by an applicable third-party technology provider.
Projects Plus may investigate suspected violations and may restrict or suspend access where reasonably necessary to protect Projects Plus, our clients, end users, third-party providers, or the integrity of the applicable systems.
8. Third-Party Platform Requirements
Certain Projects Plus services depend on third-party technology providers, including HighLevel and other software, hosting, communications, payment, analytics, or integration providers.
You agree to comply with applicable third-party requirements associated with technology you access through Projects Plus.
Projects Plus may suspend, restrict, modify, or terminate access where reasonably necessary to:
- comply with applicable law;
- comply with a third-party platform requirement;
- respond to a security concern;
- prevent suspected fraud, abuse, or prohibited activity;
- comply with a telecommunications or payment-provider requirement; or
- respond to a lawful governmental or regulatory request.
Projects Plus is not responsible for changes, outages, restrictions, pricing changes, discontinuation, or functionality limitations imposed by third-party providers.
9. Client Content and Responsibility
You retain responsibility for information, content, data, products, services, claims, offers, communications, and materials that you provide or direct Projects Plus to use.
You represent that you have all rights, licenses, permissions, authorizations, and consents necessary to provide and use such materials.
You are responsible for the legality and accuracy of your:
- business claims;
- professional or educational content;
- products and services;
- pricing and offers;
- customer communications;
- marketing representations;
- privacy disclosures;
- intellectual property; and
- regulated or industry-specific statements.
You are also responsible for determining and complying with accessibility laws, regulations, and standards applicable to your business, jurisdiction, customer base, websites, applications, content, and communications.
Projects Plus may assist with website design, implementation, formatting, technology, or accessibility-related adjustments when included within the applicable scope, but does not provide legal accessibility certification or guarantee that Client materials satisfy every accessibility requirement unless expressly agreed otherwise in writing.
Projects Plus may assist with implementation, organization, design, technology, or strategy, but such assistance does not transfer responsibility for the underlying accuracy or legality of Client-provided information.
10. Email, SMS, Calls, and Marketing Communications
If you use Projects Plus-hosted systems to send email, SMS, telephone calls, automated communications, or marketing messages, you are responsible for ensuring that your communications comply with applicable laws, regulations, carrier requirements, consent requirements, and industry rules.
This includes, where applicable, requirements relating to:
- consumer consent and opt-in;
- opt-out and unsubscribe requests;
- do-not-call requirements;
- sender identification;
- marketing disclosures;
- telecommunications registration;
- message content; and
- maintenance of appropriate consent records.
You must not use Projects Plus-hosted services to send unlawful spam, unsolicited commercial communications, or communications to persons for whom legally required consent has not been obtained.
Projects Plus may restrict messaging functionality where reasonably necessary for compliance or platform integrity.
Projects Plus SMS Messaging Program
Where you separately opt in to receive text messages directly from Projects Plus LLC, the following terms apply to the Projects Plus SMS messaging program.
Program Name and Sender: Projects Plus LLC.
Program Description: Depending on the consent you provide and your relationship with Projects Plus, messages may include appointment confirmations and reminders, responses to inquiries, client or service-related notifications, requested follow-up communications, business updates, and marketing or promotional messages where you have separately consented to receive them.
Message Frequency: Message frequency varies depending on your interactions with Projects Plus and the communications to which you have consented.
Message and Data Rates: Message and data rates may apply to messages sent to you from Projects Plus and messages sent by you to Projects Plus. Contact your wireless provider for information regarding your text or data plan.
Opting Out: You may cancel SMS messages from Projects Plus at any time by replying STOP to a Projects Plus text message. After you send STOP, we may send a confirmation message indicating that you have been unsubscribed. After your opt-out is processed, you will no longer receive SMS messages covered by that opt-out unless you later opt in again.
Rejoining: If you previously opted out and would like to receive messages again, you may rejoin by completing the applicable opt-in process again.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.

Compliance: Projects Plus messaging programs are intended to operate in accordance with applicable law, carrier requirements, and messaging-industry standards. Users of Projects Plus-hosted technology remain responsible for ensuring that their own messaging programs independently satisfy requirements applicable to their businesses.
11. Privacy, Data Rights, Retention, and Deletion
Use of Projects Plus websites and services is also subject to the Projects Plus Privacy Policy.
Clients using Projects Plus-hosted systems to collect information from their own customers, leads, students, members, or other individuals remain responsible for maintaining their own legally appropriate privacy notices, obtaining any required consent, and complying with applicable privacy and data-protection laws.
You must not direct Projects Plus to collect, use, upload, or process information that you do not have the lawful right or required permission to process.
Data Subject Rights
Where applicable law grants individuals rights relating to their personal information, you are responsible for establishing and maintaining appropriate procedures for receiving, documenting, responding to, and fulfilling requests relating to information you control.
Such requests may include, where applicable:
- access;
- deletion;
- correction;
- portability;
- restriction of processing;
- objection to processing; and
- other rights provided by applicable privacy law.
If Projects Plus or an applicable third-party provider receives a data-rights request concerning information for which you are responsible, the request may be directed to you for appropriate handling.
You agree to reasonably cooperate in responding to such requests within legally required timeframes.
Data Retention and Deletion
You are responsible for establishing appropriate retention periods and deletion procedures for personal information collected or processed through your business and Projects Plus-hosted systems.
Personal information should not be retained longer than reasonably necessary for the purposes for which it was collected or as otherwise required or permitted by applicable law.
You are responsible for taking appropriate steps to delete, anonymize, export, or otherwise manage personal information when required by applicable law, a valid individual request, or termination of an applicable service relationship.
Retention of information by Projects Plus or a third-party technology provider for legitimate operational, security, backup, contractual, or legal purposes does not eliminate your own data-retention and deletion obligations.
12. Artificial Intelligence Features
Certain third-party services used by Projects Plus may offer artificial-intelligence features.
If such functionality is made available to you:
- AI-generated outputs may contain errors or inaccuracies;
- you are responsible for reviewing output before relying on or publishing it;
- you may not use AI functionality for fraudulent, deceptive, unlawful, discriminatory, harmful, or infringing purposes; and
- use may also be subject to additional terms imposed by the applicable AI or platform provider.
Projects Plus does not guarantee the accuracy, completeness, originality, or suitability of AI-generated output.
13. Fees, Subscriptions, and Payment
Fees for paid Projects Plus services are governed by the applicable written agreement, checkout, order form, or subscription arrangement.
Where recurring services are provided, applicable recurring charges, renewal, cancellation, suspension, and nonpayment provisions will be governed by the applicable client agreement.
Projects Plus may use third-party payment processors to collect payments.
You are responsible for applicable third-party or usage-based charges assigned to you under an applicable agreement.
14. Intellectual Property
The Projects Plus name, branding, website, designs, copy, graphics, workflows, systems, methodologies, templates, frameworks, processes, prompts, technology configurations, and other proprietary materials are owned by Projects Plus or used with permission.
Except where expressly permitted in writing, you may not:
- reproduce;
- redistribute;
- resell;
- publish;
- sublicense;
- commercially exploit;
- create unauthorized derivative works from; or
- represent as your own
Projects Plus proprietary materials.
Ownership and licensing of custom client deliverables are governed by the applicable client agreement.
15. Third-Party Services and Links
Projects Plus websites and services may contain links to or integrations with third-party products or services.
Third-party services are governed by their own agreements and privacy practices.
Projects Plus does not control and is not responsible for the availability, security, functionality, content, policies, or actions of independent third-party providers.
16. No Guarantees
Projects Plus does not guarantee:
- revenue;
- profitability;
- course sales;
- enrollments;
- leads;
- conversions;
- customer acquisition;
- audience growth;
- advertising performance;
- business growth; or
- any other particular commercial result.
Results depend on numerous factors outside Projects Plus’s control.
Any examples, strategies, projections, case studies, testimonials, estimates, or discussions of possible outcomes are illustrative and are not guarantees of future results.
17. Suspension and Termination of Access
Projects Plus may suspend or restrict website or platform access where reasonably necessary because of:
- violation of these Terms;
- suspected fraud or unlawful conduct;
- security concerns;
- abuse of the services;
- applicable third-party requirements;
- telecommunications or payment-provider requirements;
- governmental or regulatory requirements; or
- circumstances otherwise permitted under an applicable client agreement.
Recurring-service suspension and termination for nonpayment are governed by the applicable MSA or other written client agreement.
Termination or suspension of access does not affect obligations that accrued before termination.
18. Disclaimers
Projects Plus websites, informational materials, and technology services are provided on an “as available” basis to the extent permitted by law.
Projects Plus does not warrant that every website, integration, third-party service, automation, communication system, or platform will operate uninterrupted or error-free at all times.
Nothing provided by Projects Plus constitutes legal, tax, accounting, medical, financial, or other regulated professional advice unless expressly agreed in writing and lawfully provided by a qualified professional.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Projects Plus will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from or relating to use of the website, Projects Plus-hosted technology, or these Terms.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
Where an applicable signed MSA or other client agreement contains a more specific limitation-of-liability provision, that provision controls for that client relationship.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Projects Plus from third-party claims, losses, damages, liabilities, costs, and expenses arising from or relating to:
- content or materials supplied by you;
- your products or services;
- your unlawful or prohibited use of Projects Plus-hosted technology;
- your violation of another person’s rights;
- your marketing or customer communications; or
- your violation of these Terms or applicable law.
Any additional indemnification obligations contained in an applicable signed client agreement remain in effect.
21. Changes to These Terms
Projects Plus may update these Terms from time to time as our website, services, technology, legal requirements, or business practices evolve.
The updated Terms will be posted with a revised effective date.
Continued use of the website or applicable services after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
Material changes affecting an active paid client relationship remain subject to any applicable contractual requirements contained in the Client’s signed agreement.
22. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
To the extent a dispute is not governed by a separate signed agreement, any legal proceeding arising from these Terms will be brought in an appropriate court located in Maricopa County, Arizona, unless applicable law requires otherwise.
23. Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
24. Entire Terms and Order of Precedence
These Terms govern general use of Projects Plus websites and Projects Plus-hosted technology.
Where an active client has also entered into an MSA, SOW, order form, or other signed agreement with Projects Plus, those agreements remain in effect.
For project-specific scope, pricing, deliverables, payment obligations, ownership, timelines, revisions, termination rights, or other negotiated commercial terms, the applicable signed client agreement controls over these general Terms.
